1. Acceptance of Terms
By accessing or using Kurae ("Service", "we", "us"), you confirm that you are at least 16 years old (or 13 in jurisdictions that permit it with parental consent), have the legal capacity to enter into binding contracts, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.
If you do not agree to these Terms in full, you must not access or use the Service. Your continued use of the Service after any modification to these Terms constitutes acceptance of the updated Terms.
2. Accounts and Registration
To use the Service you must register for an account via our authentication provider (Clerk). You agree to: (a) provide accurate, current, and complete information; (b) keep your credentials confidential and not share them with third parties; (c) notify us immediately at security@kurae.app if you suspect unauthorised access; (d) accept responsibility for all activity that occurs under your account.
We reserve the right to terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 24 months with prior notice where required by law.
3. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe intellectual property rights of any party; (c) transmit malicious code, viruses, or harmful data; (d) attempt to gain unauthorised access to any part of the Service, its infrastructure, or other users' data; (e) engage in web scraping, automated data extraction, or bulk API access beyond published rate limits; (f) generate, store, or distribute content that is illegal, defamatory, harassing, or harmful; (g) reverse-engineer, decompile, or create derivative works from the Service without written permission; (h) use the Service in any way that could damage, disable, or impair it.
We reserve the right to suspend or terminate access immediately and without notice for violations of this section.
4. Your Content
You retain full ownership of all notes, captures, highlights, and other content you create in Kurae ("Your Content"). You grant Kurae a limited, non-exclusive, royalty-free, worldwide licence to store, process, transmit, and display Your Content solely to provide the Service to you and as described in our Privacy Policy.
We do not: (a) claim ownership of Your Content; (b) sell, rent, or share Your Content with third parties except as required to provide the Service; (c) train, fine-tune, or improve AI models using Your Content; (d) access Your Content for any purpose other than operating and improving the Service.
You represent and warrant that Your Content does not violate any third-party rights and that you have all necessary rights to grant the above licence.
5. AI Features and Third-Party Providers
Kurae's AI features (AI Route, AI Distil, Express Studio, Support Chat) use third-party AI inference providers including OpenRouter, Google, NVIDIA, Liquid AI, and others. When you activate an AI feature, relevant excerpts of Your Content are transmitted to the applicable provider under their respective terms and privacy policies.
You acknowledge that: (a) AI-generated outputs are automated and may be inaccurate, incomplete, or misleading; (b) you are solely responsible for reviewing AI outputs before relying on them for professional, legal, medical, financial, or other important decisions; (c) we make no warranty as to the accuracy, completeness, or fitness for purpose of AI outputs; (d) AI model availability and capabilities may change without notice.
We are not liable for any decisions made based on AI-generated content. Kurae does not use OpenAI, Anthropic, or Google direct API keys stored on your behalf — all AI calls are routed server-side and your browser never directly contacts AI providers.
6. Subscription Plans and Billing
Kurae may offer free and paid subscription tiers. Paid subscriptions are billed via Stripe in advance on a monthly or annual basis. Prices are displayed at the point of purchase and are exclusive of applicable taxes, which will be added at checkout.
Cancellations take effect at the end of the current billing period — you retain access until then. Refunds are available within 14 days of initial purchase if the Service materially fails to perform as described. We reserve the right to modify pricing with at least 30 days' notice delivered via email or in-app notification. Continued use after the effective date constitutes acceptance of the new pricing.
Free plan features and limits may be adjusted at our discretion with reasonable notice. We are not liable if a free tier feature is reduced, discontinued, or moved to a paid plan.
7. Intellectual Property
All software, design, code, trademarks, logos, and Service content (excluding Your Content) are owned by or licensed to Kurae and protected by copyright, trademark, and other intellectual property laws. The Service is licensed, not sold.
You may not: (a) copy, modify, or distribute Service materials; (b) use our trademarks or branding without express written permission; (c) remove any proprietary notices or labels.
Any feedback, suggestions, or ideas you submit to us may be used by us without compensation or attribution to you. You hereby assign all rights in such feedback to us.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy explains how we collect, use, store, and protect your personal data, your rights under GDPR (if applicable), and how to exercise them.
By using the Service, you consent to the data practices described in the Privacy Policy. If you do not agree, you must not use the Service.
9. DMCA and Copyright Infringement
We respect intellectual property rights. If you believe content on the Service infringes your copyright, please send a DMCA takedown notice to legal@kurae.app with: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; (f) your electronic or physical signature.
We will respond to valid notices promptly. Repeat infringers' accounts will be terminated.
10. Termination
You may delete your account at any time via account settings. Upon deletion, we will delete Your Content within 30 days in accordance with our Privacy Policy; backups may be retained for up to 7 additional days.
We may suspend or terminate your account at any time for material breach of these Terms, suspected fraudulent activity, or for any other reason with 30 days' notice (except in cases of serious breach, illegal conduct, or security threats, where immediate termination without notice is warranted).
Upon termination, your licence to use the Service ends immediately. Sections 4, 7, 11, 12, and 13 survive termination.
11. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
We do not warrant that: (a) the Service will be error-free or uninterrupted; (b) data stored on the Service will not be lost; (c) AI-generated outputs will be accurate or complete; (d) the Service will meet your specific requirements.
Some jurisdictions do not allow exclusion of implied warranties — in such cases, the above disclaimers apply to the maximum extent permitted by applicable law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORTEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS; (C) DAMAGE ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT; OR (D) COST OF SUBSTITUTE SERVICES.
OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (II) £100 (GBP).
Nothing in these Terms limits liability for: fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Kurae and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable law.
14. Dispute Resolution and Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. For EU and UK consumers, you may also have rights under your local consumer protection laws which these Terms do not override.
Before initiating formal proceedings, we encourage you to contact us at legal@kurae.app to resolve disputes informally. Both parties agree to negotiate in good faith for at least 30 days before commencing litigation.
Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are an EU consumer, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
15. General Provisions
Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
Entire Agreement: These Terms, together with the Privacy Policy and any additional terms you accept, constitute the entire agreement between you and Kurae regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
No Waiver: Failure to enforce any provision does not constitute a waiver of that right.
Assignment: You may not assign your rights or obligations under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets, with notice to you.
Updates: We may update these Terms at any time. For material changes, we will provide at least 14 days' notice via email or in-app notification. These Terms were last updated on 28 May 2026.
